Terms and conditions
The rules that apply to our offers, our services and access to our online tools.
Last updated: October 2026
Scope
These terms apply to all offers, orders and services of Nexa Smart Solutions SRL (“Nexa”): studies, audits and owner's assistance, BMS/BACS integration, HVAC and electrical, training, and access to the NexaQuant and NexaInsights tools.
They prevail over the client's terms, unless a written exception is accepted by Nexa.
Offers and orders
Our offers are valid for 30 days from their date. The contract is formed on receipt of the offer signed by the client, or of the client's purchase order accepted in writing by Nexa.
Prices
Prices are in euros, excluding VAT. Travel, material or subcontracting costs not included in the offer are invoiced separately, with the client's agreement.
Invoicing and payment
Invoices are payable within 30 days of their date.
Any late payment automatically and without notice bears interest at the rate set by the Belgian Act of 2 August 2002 on combating late payment in commercial transactions, together with a fixed compensation of 40 euros for recovery costs, without prejudice to further justified compensation.
Any dispute about an invoice must be sent in writing within 8 days of receipt.
Performance of services
Nexa performs its services with care, in line with good practice and applicable standards. Unless expressly agreed otherwise, this is a best-efforts obligation.
Deadlines are indicative, unless a binding deadline is agreed in writing.
Client's obligations
The client provides the necessary information, plans, data and access on time, and guarantees their accuracy. Delays or errors resulting from them cannot be held against Nexa.
Estimates and tools
Estimates from the BACS Qualifier and NexaQuant rely on assumptions and standardised methods. They support decisions; they do not guarantee a result.
Claims
Claims about a service must be sent in writing within 15 days of its performance or of delivery of the document concerned.
Liability
Nexa's liability is limited to direct and foreseeable damage, and capped at the amount, excluding VAT, of the service concerned. Nexa is not liable for indirect damage, such as loss of operations or revenue.
These limits do not apply in the event of intentional misconduct, nor to damage to life or physical integrity.
Intellectual property
Nexa's studies, plans, calculation notes, documents, tools and software remain its property. After full payment, the client receives a right of use for the project concerned.
Confidentiality
Each party keeps confidential the information received from the other in connection with the assignment, for its whole duration and after it ends.
Training
Registration is confirmed in writing. Cancellation is free of charge up to 10 working days before the session; after that, 50% of the price is due, and 100% within 3 working days or in case of absence. A participant may be replaced at no cost. If Nexa postpones a session, the client chooses a new date or is refunded. A certificate of attendance is issued at the end of the course.
Online tools
Access to NexaQuant and NexaInsights is personal and reserved for clients. Credentials and the second factor are strictly confidential. Nexa may suspend access in case of abnormal use or for maintenance.
The service terms specific to these tools (availability, support, duration) are covered by specific terms, provided to the client with their access.
Personal data
Personal data is processed in accordance with our privacy policy.
Force majeure
Neither party is liable for a failure caused by an unforeseeable and irresistible event beyond its control.
Termination
In the event of a serious breach, the other party may terminate the contract in writing, after formal notice that remained without effect for 15 days.
Consumer clients
If the client acts as a consumer, the mandatory provisions of the Belgian Code of Economic Law apply, including the 14-day right of withdrawal for distance or off-premises contracts, subject to legal exceptions.
In the event of a dispute, consumers may contact the Consumer Mediation Service: www.consumerombudsman.be.
Applicable law and disputes
Contracts are governed by Belgian law. Any dispute falls within the jurisdiction of the courts of the judicial district of Brussels, unless a mandatory provision provides otherwise.
